An EIN for a Wyoming LLC is the same federal 9-digit number the IRS issues in all 50 states, on the same Form SS-4. Wyoming issues no EIN of its own and adds no field to the form. What Wyoming does control is the step before it: the Articles of Organization the Secretary of State stamps, whose exact legal name has to reach line 1 character for character. The IRS charges $0.
Wyoming is the state non-resident owners pick most, and it is the state that produces the most confused EIN questions, because the privacy the state is famous for and the disclosure the IRS demands point in opposite directions. This page separates the two registries, walks the 6 SS-4 lines a Wyoming filing touches, and names the state registrations that sit beside the EIN afterwards. The comparison pages for the other two popular charters are ein for delaware llc and ein for texas llc, both of which add a franchise tax Wyoming does not have. Licensed practices chartered in Wyoming carry one extra naming rule, covered on ein for pllc.
Is there a special EIN for a Wyoming LLC?
No. One federal 9-digit EIN exists, issued by the IRS on Form SS-4, and it is identical in all 50 states. Wyoming issues no state EIN, and the form has no Wyoming field.
The phrase reads like a product, and it is not one. The Employer Identification Number is federal. A Wyoming LLC, a Nevada LLC, and a New York LLC apply on the same 18-line Form SS-4, get back the same 9-digit format, and receive the same CP-575 confirmation letter. No line on the form asks an LLC to name the state that chartered it: line 6 records where the business operates, and line 8c asks only whether the LLC was organized inside the United States at all.
This matters because the search itself misleads people into waiting. Owners who believe a Wyoming-specific number exists go looking for it on the Wyoming Secretary of State site, find nothing, and lose weeks before applying to the IRS. There is nothing to find. The state work is finished the moment the Articles of Organization come back stamped.
Three things genuinely change with the state, and only three: when the SS-4 can be filed, which state registrations sit alongside the EIN afterwards, and what the state's public record shows about the people behind the LLC. Wyoming has a real position on all three, and this page covers each one.
Everything else on this page applies to your LLC whether it was formed in Cheyenne or anywhere else. The federal mechanism does not bend for a state, and any page that claims otherwise is describing a product the IRS does not sell.
When can a Wyoming LLC apply for its EIN?
After the Wyoming Secretary of State approves the Articles of Organization. Line 1 of Form SS-4 carries the exact approved legal name, so the stamped filing has to exist before the application is sent.
Order decides the outcome. The IRS pairs the EIN it issues with the legal name written on line 1, permanently. A name entered before the state approves it, and then altered by the state at approval, leaves an EIN attached to a name no bank record will match. Fixing that costs more time than waiting did.
Wyoming's Articles of Organization are filed with the Secretary of State under the Wyoming Limited Liability Company Act, Title 17, Chapter 29 of the Wyoming Statutes. The filing names the LLC, its registered agent, and its principal office. The stamped copy that comes back is the document line 1 is copied from.
Copy it character for character. Wyoming approves a name as filed, including whether it reads LLC, L.L.C., or Limited Liability Company, whether a comma sits before the designator, and whether the word Company is spelled out. Each of those is a separate string to the IRS name-control check, and a mismatch is the single most common reason an LLC application comes back.
Wyoming also requires a registered agent with a physical Wyoming street address, under the Wyoming Registered Agents Act at Title 17, Chapter 28. That agent address is a state requirement and not an IRS one. Line 4a of Form SS-4 takes the street or PO box of the mailing address, and line 4b takes the city, state, and ZIP. Together they are where the CP-575 arrives.
That distinction traps foreign owners more than any other. A registered agent's street address entered on line 4a sends the CP-575 to the agent, and an agent that scans and forwards mail adds days to a letter the bank is already waiting on. Lines 5a and 5b take the LLC's street address when it differs from the mailing address on 4a and 4b.
Which Form SS-4 lines change for a Wyoming LLC?
Six lines carry the Wyoming detail: line 1 the approved name, lines 4a and 4b the mailing address, line 6 the county and state, line 8a the LLC answer, and line 8c the organized-in-the-US answer.
Line 6 asks for the county and state where the principal business is located. A Wyoming LLC that operates from Laramie County writes Laramie County, WY. A Wyoming LLC whose owner works from Lisbon writes the location where the business actually runs, because the field describes operations and not the charter.
Line 8a asks whether the application is for a limited liability company, and every Wyoming LLC answers Yes. Line 8b takes the number of members. Line 8c asks whether the LLC was organized in the United States, and a Wyoming LLC answers Yes, because the question describes the charter and not the owner's citizenship. A non-resident owner still answers Yes there.
No line on Form SS-4 asks an LLC to name its state of organization. Line 9b asks for the state of incorporation, and it asks only of corporations. Owners searching the form for a Wyoming field find none, which is the same absence this page opened with, expressed in ink on the application itself.
Line 8b is the field with a decade-long consequence. One member produces a disregarded entity, and 2 or more members produce a partnership that files Form 1065 every year the LLC exists. A wrong count routes the LLC to the wrong annual return for the life of the company, and Wyoming's popularity with single-owner holding structures makes an accidental 2 there expensive.
Line 9a is the type-of-entity field, and its entry has to agree with the count on 8b. Lines 8a, 8b, and 9a together are the classification the IRS records, which is why those 3 fields are the ones we check before anything is transmitted. Line 10 is the separate reason-for-applying field, and started new business, banking purpose, and hired employees are 3 of its checkboxes. Line 11 takes the date the business started, which for a Wyoming LLC is the formation date shown on the stamped Articles.
Line 12 takes the closing month of the accounting year, and December is the standard answer. That single field sets the annual deadline the LLC lives with.
The partnership return a member count of 2 or more commits the LLC to, its March 15 deadline, and the Schedule K-1 each Wyoming member receives are walked through on form 1065 for llc, which is worth reading before line 8b is answered rather than after.
Does Wyoming privacy keep my name off the EIN application?
No. Wyoming omits member names from the public record, and the IRS still requires a named responsible party on line 7a with a taxpayer identification number or the word Foreign on line 7b.
These are two separate registries with two separate rules, and conflating them is the most common Wyoming mistake we see. Wyoming's Articles of Organization do not list the LLC's members on the public filing, which is why the state built its reputation for owner privacy. That reputation describes a state database, not a federal one.
The IRS position is the opposite by design. Since 2018 the agency requires a natural person as the responsible party on line 7a, defined as the individual who controls, manages, or directs the entity and the disposition of its funds and assets. An entity name in that field is rejected. A nominee who does not control the funds does not qualify.
Line 7b takes that person's SSN, ITIN, or EIN. A responsible party who holds none of the three writes the word Foreign, which is accepted, and the application then goes by fax instead of through the online system. No passport is required, and no passport is uploaded anywhere in this process.
The IRS record is not a public record. The responsible party disclosed on line 7a sits in the IRS file, not in a searchable database, and the state privacy Wyoming offers is unaffected by it. Owners lose nothing by naming themselves correctly, and lose the application by naming nobody.
One duty follows the disclosure. When the responsible party changes, the IRS expects Form 8822-B within 60 days of the change. That obligation runs quietly for years in structures where the original manager left, and it is the reason we ask who actually controls the funds before we file anything.
Does a Wyoming LLC need a state tax ID number too?
Wyoming levies no individual income tax and no corporate income tax, so there is no state income tax number to obtain. A Wyoming LLC that sells taxable goods registers with the Department of Revenue using its federal EIN.
This is where Wyoming genuinely differs from most states, and it is the whole state-tax story. With 0 percent individual income tax and 0 percent corporate income tax at the state level, Wyoming has no income tax registration for an LLC to complete and no state taxpayer number attached to income. Owners arriving from states that issue one keep looking for it and never find it.
Sales and use tax is the exception. A Wyoming LLC selling taxable goods or services into Wyoming applies for a sales and use tax license from the Wyoming Department of Revenue, and that application asks for the federal EIN. The order is fixed: EIN first, state license second.
Employees add two more registrations, neither of which replaces the EIN. Unemployment insurance is administered through the Wyoming Department of Workforce Services, and Wyoming requires workers compensation coverage for employees through the same department. Both use the federal EIN as the identifier the accounts hang from.
An LLC with 0 employees and 0 Wyoming sales completes none of those three. It holds the Articles, the registered agent, the annual report, and the federal EIN, and that is the full identifier set. That short list is exactly why non-resident owners choose Wyoming for holding and online structures.
Wyoming's annual report is a state obligation and carries no EIN field for most filers. It falls due on the first day of the anniversary month of formation, so an LLC formed on 14 March reports every March 1 from the following year. The federal EIN neither triggers nor satisfies it.
What is federal and what is Wyoming?
Two of the 8 items a Wyoming LLC holds are federal and issued by the IRS. Five are issued by Wyoming agencies. The eighth, a state income tax number, does not exist in Wyoming at all.
| Item | Level | Issued by | How it is obtained | Cost |
|---|---|---|---|---|
| The 9-digit EIN | Federal | IRS | Form SS-4 | $0 |
| CP-575 confirmation letter | Federal | IRS | Issued with the EIN | $0 |
| Articles of Organization | Wyoming | Secretary of State | State formation filing | State schedule |
| Registered agent | Wyoming | Private agent | Title 17, Chapter 28 | Agent's own rate; $99/year with our add-on |
| Annual report | Wyoming | Secretary of State | Due anniversary month, day 1 | State schedule |
| Sales and use tax license | Wyoming | Department of Revenue | Requires the EIN first | State schedule |
| Unemployment insurance account | Wyoming | Workforce Services | Employees only | State schedule |
| State income tax number | None exists | None | Wyoming levies 0% income tax | $0 |
Sources: IRS Form SS-4 instructions and the Wyoming Statutes cited above, verified July 2026. State fee schedules change, so confirm the current amount with the agency named in the row before filing. The IRS fee is $0 on every route.
Separating the 2 issuers matters when something goes wrong, because the fix lives with whoever issued the number. An EIN problem is an IRS problem, resolved at 800-829-4933 or by fax on Form SS-4, and no Wyoming agency can touch it. A registered agent lapse or a missed annual report is a Wyoming problem, resolved with the Secretary of State, and the IRS neither knows nor cares. The state income tax number is the one entry on the list that has no issuer at all: Wyoming levies no personal or corporate income tax, so a form asking a Wyoming LLC for that number is asking for something that does not exist.
What does Wyoming publish, and what does the IRS require?
Wyoming publishes the registered agent and the principal office. The IRS requires the responsible party, that person’s taxpayer identification, the mailing address, and the member count. Neither list overrides the other.
| Detail | Wyoming public record | Form SS-4 | Note |
|---|---|---|---|
| Member names | Not listed | Not required | Wyoming Articles list no members |
| Manager names | Listed if manager-managed | Not required | State filing choice |
| Registered agent | Listed, public | Not required | Physical Wyoming address |
| Responsible party | Not listed | Required, line 7a | A natural person, always |
| Responsible party TIN | Not listed | Required, line 7b | SSN, ITIN, or the word Foreign |
| Mailing address | Principal office listed | Required, lines 4a and 4b | Where the CP-575 is delivered |
| Member count | Not listed | Required, line 8b | Decides the annual federal return |
Source: IRS Form SS-4 instructions and Wyoming Secretary of State filing requirements, verified July 2026. The IRS file is not a public database.
The practical consequence is that a Wyoming public record cannot substitute for an IRS record, in either direction. Wyoming lists the registered agent and the principal office because those are what the state needs to serve process; the IRS asks for the responsible party, that person’s taxpayer identification, the mailing address and the member count because those are what it needs to attach a tax account to a human being. An agent named on the Wyoming filing has no standing with the IRS, and the responsible party named on Form SS-4 does not appear in any Wyoming search. Keeping both records current is 2 separate jobs on 2 separate calendars.
How does a non-US owner get an EIN for a Wyoming LLC?
Line 7b takes the word Foreign, the online application closes, and Form SS-4 goes by fax to 855-641-6935 for a US-based entity or 855-215-1627 from outside the United States.
The online application is the only door that closes. It validates the responsible party against an SSN or ITIN in real time, so a responsible party without one cannot complete it. The fax route is not a workaround or a lesser path. It is the route the IRS built for exactly this application, and it produces the identical 9-digit number and the identical CP-575.
A Wyoming LLC with a US mailing address uses 855-641-6935. An LLC whose owner and address sit outside the United States uses 855-215-1627. The IRS also runs an international phone line at 267-941-1099, which handles EIN questions for applicants outside the country.
The fields that decide a foreign-owned Wyoming filing are line 7b, line 8b, and line 9a. Write Foreign on 7b, enter the true member count on 8b, and set the entity type on 9a so it agrees with that count. Every rejection we unpick starts in one of those 3 fields or in a line 1 name that does not match the stamped Articles.
One federal obligation follows a foreign-owned single-member Wyoming LLC for the rest of its life. It files Form 5472 with a pro-forma Form 1120 every year, and a missed filing carries a $25,000 penalty under Internal Revenue Code section 6038A. Wyoming's 0 percent state income tax does nothing to reduce that federal exposure, and owners who chose Wyoming for its tax profile are the ones most surprised by it.
How long does an EIN take for a Wyoming LLC?
The route decides the timeline, not the state. An applicant with an SSN gets the number in one 15-minute online session. The fax route runs on IRS processing time, which no filing service controls or shortens.
No service accelerates the IRS. Anyone advertising a same-day EIN for a no-SSN applicant is describing the online application, which that applicant cannot use. What a filing service controls is the quality of the submission and the deadline it commits to in writing, and those are different things from IRS speed.
Our commitment is a written one, and it is a filing deadline rather than a delivery date, because the IRS controls delivery and we do not. Standard is $97: filed by fax within 7 business days, or that fee is refunded, and 16–19 business days total to the EIN. Fast is $127: filed and the IRS call made within 24 hours, guaranteed, or that fee is refunded, and 6 to 8 business days total. Business days mean Monday to Friday, excluding US federal holidays.
Wyoming's formation step sits before that clock starts. The Articles have to be approved before the SS-4 is sent, so an owner planning a bank account backwards from a date counts state approval time, then the EIN, then the bank's own verification of the CP-575.
Rejections cost more than the wait. A name mismatch on line 1 restarts the sequence rather than pausing it, which is why the character-by-character Articles review is included in the price rather than sold as an extra.
What does a Wyoming LLC file after the EIN arrives?
One state filing and one federal return set. Wyoming takes the annual report on the first day of the anniversary month. The federal return depends on member count: Schedule C, Form 1065, or Form 5472 with a pro-forma 1120.
Member count decides the federal side entirely. A single-member Wyoming LLC with a US owner reports on Schedule C inside Form 1040, due April 15. A single-member Wyoming LLC with a foreign owner files Form 5472 with a pro-forma Form 1120 instead. Two or more members file Form 1065 by March 15, with a Schedule K-1 issued to every member.
Form 7004 extends the partnership return by 6 months, to September 15, and extends nothing on the members' personal side. Each member still files personally in April using the K-1 the LLC issued. The mechanics of that return, including the per-partner penalty under Internal Revenue Code section 6698, sit on the form 1065 for llc page.
Elections change the return without changing the number. Form 8832 moves the LLC to Form 1120, and Form 2553 moves it to Form 1120-S with a deadline of 2 months and 15 days from the start of the tax year the election takes effect. The EIN survives both. The IRS assigns the number to the entity, not to the classification.
Wyoming's annual report and the federal returns never touch each other. Filing the state report does not satisfy an IRS deadline, and filing a federal return does not keep the LLC in good standing with the Secretary of State. Two calendars run in parallel from the day the LLC exists.
What order do the Wyoming steps run in?
Eight steps, in one fixed order. The Articles come before the SS-4, the EIN comes before the bank account and the sales tax license, and the annual report runs on its own anniversary calendar afterwards.
| # | Step | Who handles it | What must exist first |
|---|---|---|---|
| 1 | File Articles of Organization | Wyoming Secretary of State | A Wyoming registered agent |
| 2 | Receive the stamped Articles | Wyoming Secretary of State | Step 1 approved |
| 3 | Copy the legal name to line 1 | You | The stamped Articles in hand |
| 4 | File Form SS-4 | IRS, online or by fax | Line 7a responsible party named |
| 5 | Receive the EIN and CP-575 | IRS | Step 4 accepted |
| 6 | Open the bank account | The bank | CP-575 plus the Articles |
| 7 | Register for sales tax if selling | Department of Revenue | The EIN from step 5 |
| 8 | File the annual report | Wyoming Secretary of State | Anniversary month, first day |
Source: IRS Form SS-4 instructions and Wyoming Secretary of State procedure, verified July 2026. Steps 7 and 8 apply to LLCs selling into Wyoming and to every Wyoming LLC respectively.
The order is fixed because each step consumes the output of the one before it. The IRS rejects a Form SS-4 that names an LLC the state has not yet approved, so the Articles come first. A US bank asks for the 9-digit EIN and the CP-575 letter before it opens an account, so the EIN comes before banking. The Wyoming sales tax licence asks for the EIN as well. Only the annual report runs on its own clock, on the first day of the LLC’s anniversary month, independent of everything above it.
- Have an SSN? Go to irs.gov. The EIN is free, the online application takes 15 minutes, and you walk away with the number in the same session. Paying anyone for that is paying for nothing.
- No SSN? The online application is closed to you. Line 7b takes the word Foreign and the application goes by fax to 855-641-6935 or 855-215-1627. Do it yourself, or we file it for $97, faxed within 7 business days, or $127 filed within 24 hours with the IRS call included.
- No Wyoming charter yet? Wyoming wants Articles of Organization and a registered agent with a physical Wyoming street address before the SS-4 can go anywhere. Formation with the first-year registered agent and an operating agreement is an optional +$197 add-on, plus the Wyoming filing fee at cost, and the agent renews at $99/year. The state runs on its own schedule, tracked separately from the EIN, never folded into one date.
Either way the IRS fee is $0, the number never renews, and Wyoming charges nothing for it because Wyoming does not issue it. The EIN is priced on its own, so if your Wyoming LLC already exists that is the whole invoice and we will tell you to leave the add-on unchecked. The full no-SSN sequence is on ein for llc without ssn.
What does an EIN for a Wyoming LLC cost?
The IRS charges $0 for the EIN, in year 1 and every year after. Filing services charge for the paperwork: our price is $97 one time, faxed within 7 business days, or $127 filed within 24 hours with the IRS call included. The Articles review and the classification check are in both.
| Route | Price | Requirement | Written deadline |
|---|---|---|---|
| IRS online, irs.gov | $0 | An SSN or ITIN | None, same session |
| einforllc.co: Standard | $97 one time | No SSN. No passport upload. | Faxed in 7 business days, or that fee refunded |
| einforllc.co: Fast | $127 one time | No SSN. No passport upload. | Filed in 24 hours with the IRS call, or that fee refunded |
| Northwest | $200 | No-SSN rate | None published |
| ZenBusiness | $99 | Add-on to another purchase | None published |
| Rocket Lawyer | $59.99 | Service fee | None published |
Competitor prices verified July 2026. Wyoming state filing fees are separate, set by the Secretary of State, and paid to the state. The EIN is priced on its own: if your Wyoming LLC is already chartered, that single row is the whole invoice. Owners who have not filed with Wyoming yet can add formation with the first-year registered agent and an operating agreement for +$197, with the Wyoming fee passed through at cost and the registered agent renewing at $99/year, stated here rather than in fine print. The EIN itself never renews, so year 2 is $0 on the federal side.
What else do Wyoming LLC owners ask about the EIN?
The 10 questions below cover the 9-digit EIN for a Wyoming LLC: line 1 naming, line 7a disclosure, the no-SSN fax route, the anniversary-month annual report, and Form 5472. Each answer names the form line it depends on.
+Is there a Wyoming EIN or a Wyoming state EIN number?
No. One federal EIN exists, 9 digits, issued by the IRS on Form SS-4, and it is identical in all 50 states. Wyoming issues no EIN of its own and adds no field to the form. The IRS fee is $0, and the number never renews in year 2 or after.
+Can a Wyoming LLC apply for an EIN before the state approves it?
Line 1 of Form SS-4 takes the exact legal name the Wyoming Secretary of State approved, so the stamped Articles of Organization come first. A name entered before approval and then altered by the state leaves the EIN attached to a name no bank record matches, and the fix costs more time than waiting 1 step.
+Does a Wyoming LLC need a state tax ID number?
Wyoming levies 0 percent individual income tax and 0 percent corporate income tax, so there is no state income tax number. An LLC selling taxable goods registers for a sales and use tax license with the Department of Revenue, and that application asks for the federal EIN first.
+Does Wyoming privacy keep my name off the EIN application?
No. Wyoming lists no members on the public Articles, and the IRS still requires a natural person as responsible party on line 7a, with an SSN, ITIN, or the word Foreign on line 7b. The IRS record is not public. A change of responsible party takes Form 8822-B within 60 days.
+How does a non-resident get an EIN for a Wyoming LLC without an SSN?
Line 7b takes the word Foreign, the online application closes, and Form SS-4 goes by fax to 855-641-6935 for a US-based entity or 855-215-1627 from outside the United States. The IRS international line is 267-941-1099. No passport is required at any point.
+What does an EIN for a Wyoming LLC cost?
The IRS charges $0, in year 1 and every year after. Our Standard is $97, filed by fax within 7 business days, 16-19 business days total. Fast is $127 in 6 to 8 business days with the IRS call. Wyoming formation is an optional +$197 add-on, and the registered agent renews at $99/year. Verified July 2026: Northwest $200, ZenBusiness $99, Rocket Lawyer $59.99.
+When is a Wyoming LLC's annual report due?
On the first day of the anniversary month of formation, so an LLC formed on 14 March reports every March 1 from the following year. It is a Secretary of State obligation, separate from every IRS deadline. Filing it satisfies no federal return, and the EIN neither triggers nor completes it.
+Does a foreign-owned single-member Wyoming LLC file a federal return?
Yes. It files Form 5472 with a pro-forma Form 1120 every year, and a missed filing carries a $25,000 penalty under Internal Revenue Code section 6038A. Wyoming's 0 percent state income tax reduces none of that federal exposure, and the obligation starts in the LLC's first year.
+Does moving a Wyoming LLC to another state change its EIN?
No. The IRS assigns the 9-digit number to the entity, and it survives a change of address, a change of state registration, and a change of tax classification. Form 8822-B reports an address or responsible-party change within 60 days. A new EIN is required for a genuinely new entity only.
+Does a 2-member Wyoming LLC file Form 1065?
Yes. Line 8b of Form SS-4 records 2 members, the IRS classifies the LLC as a partnership, and Form 1065 is due March 15 each year with a Schedule K-1 for every member. Form 7004 extends the return 6 months to September 15, and extends no personal deadline.
This page states federal tax rules and Wyoming filing requirements current as of July 2026. It is not legal or tax advice. Confirm your LLC’s position with a licensed CPA or attorney, and confirm state fees with the Wyoming Secretary of State, before filing.
Wyoming approved your LLC. Who files the SS-4?
We read your stamped Articles of Organization character by character, match line 1 exactly, set lines 8a, 8b, and 9a to your real structure, and name the responsible party correctly on line 7a. Standard is $97, filed by fax within 7 business days, or that fee is refunded, and 16–19 business days total. Fast is $127, filed and the IRS call made within 24 hours, guaranteed, or that fee is refunded, and 6 to 8 business days total. If your Wyoming charter is already stamped, this is the $97 LLC EIN specialist service that finishes the job, and that is the whole invoice. If Wyoming has not chartered it yet, formation with the first-year registered agent is an optional +$197 on its own state timeline, with the agent renewing at $99/year.
